Friedman v. Safe Security, 765 N.E.2d 192, 328 Ill.App.3d 37, 262 Ill.Dec. 278 (1st Dist. 2002). Successfully briefed and argued Motion for Directed Verdict in favor of dismissal and won subsequent Appeal involving $20,000,000 demand prior to plaintiff closing its case in chief.

Mr. Kolb has successfully argued numerous cases before the United States District Court for the Northern District of Illinois, including Trial Bar (1999 – 2007), Northern District of Indiana and the United States Court of Appeals for the Seventh Circuit (Published Trial Opinion: Friedman v. Safe Security Services, Inc., 328 Ill.App. 3d 37, 765 N.E.2d 104, 262 Ill.Dec. 278 (1st Dist. 2002)).

Andrew E. Kolb

Mr. Kolb focuses primarily on corporate, transactional, commercial real estate, tax, zoning, land use and development work. In addition to a vast array of commercial real estate clients, he also routinely handles business formations and the purchase and sale of stock, equity and assets. Mr. Kolb has extensive experience drafting agreements pertaining to the purchase and development of commercial real estate, annexation, zoning and other land use and business and real estate entitlements. Staff counsel for nationally-based REIT acquiring truck terminal properties throughout the United States. Extensive commercial real estate acquisition experience in Florida, Arizona, Texas, Georgia, California, Wisconsin, Illinois.

Mr. Kolb represents major nationally-based trucking companies, retailers and developers in connection with acquisition and leasing, real estate zoning and entitlement of real estate, the formulation of cross access and easement agreements, economic incentive agreements, and other entitlements for clients, including CVS/Caremark® and its related developers.

Mr. Kolb represents approximately a dozen different banks and private equity and mezzanine lending institutions, regularly preparing loan documentation on commercial transactions of all size.
Representative clients include large scale electronics manufacturers with operations in Shenzhen, China. Transactional experience in China, England, UAB and Germany.

Commercial Real Estate – Mr. Kolb has closed over 100 Million in commercial real estate transactions. He has extensive experience in medical office development and commercial leasing for nationally based developers such Industrial Outdoor Ventures, LLC. Experience in private offerings and equity raised from accredited investors through private placements. Mr. Kolb also has experience handling 1031 exchanges with qualified intermediators.

Zoning – Mr. Kolb is conversant in all areas of obtaining development approvals and entitlements including variances, special and conditional uses, subdivision and planned unit developments. He has experience drafting Tax Incentive Financing Agreements, Land Banking Agreements and other economic incentive agreements. Zoning, land use and development counsel for as CVS / Caremark®, Starbucks® and Fisher Nuts®, in the State of Illinois.

Business Counsel – General corporate counsel to corporations and limited liability companies, banks, manufacturers, freight forwarders, multi-national logistics companies, staffing companies, and large-scale contractors.

Mergers and Acquisitions – Experience in handling the sale and acquisition of stock, assets and equity.

Banking – Currently, Mr. Kolb is representing multiple major banks in the Chicagoland market. He has experience in drafting and reviewing commercial loan documents and loan packages for banks and private equity lending institutions.

Municipal Matters – Acted as assistant Illinois municipal attorney in the Villages of Burlington, Sleepy Hollow, South Elgin and Hampshire.

Construction & Development – Experience in drafting and editing all variations of lump sum and cost-plus construction agreements and subcontractor agreements. Mr. Kolb also represents numerous physician groups, independent doctor groups, multiple banks, as well as real estate and financial investment and development firms.

Franchise – Experience in drafting and reviewing franchise agreements for nationally recognized food service establishments. Superior knowledge of Illinois Franchise Disclosure requirements.

Healthcare – Experience zoning and developing senior assisted living facilities and nursing homes. Representation of national PPO organization and General Counsel.
